Terms of Service

These Terms of Service form a binding agreement between you and BhaShaVox and govern your use of our website, applications, and APIs. Please read them carefully. This document is published in English; any translation is provided for convenience only and the English version governs.
Acceptance & Eligibility
These Terms of Service (the "Terms") are a binding agreement between you and BHASHAVOX PRIVATE LIMITED ("BhaShaVox", "we", "us"). By creating an account, accessing, or using the Services, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Eligibility. You must be at least 18 years old and legally capable of entering into a contract. By using the Services you represent that you meet these requirements.
Business use. If you accept these Terms on behalf of a company or other organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.
Enterprise agreements. If you have signed a separate written agreement with us, that agreement prevails over these Terms to the extent of any conflict.
Description of the Services
BhaShaVox provides AI-assisted multilingual communication and content tools, which may include text and document translation, transcription, subtitling, dubbing, speech synthesis, voice cloning, and related APIs.
Access is token-based. Paid subscription plans (Starter, Pro, Enterprise) grant a periodic token allowance that resets on each billing period. Pay-As-You-Go packs sell fixed token amounts that never expire and may be added on top of a subscription. Current prices and allowances are listed on our Pricing page.
We may add, change, or discontinue features at any time. Where we discontinue a feature you materially rely on under a paid plan, we will give reasonable advance notice and, where the change substantially reduces the value of your plan, allow you to cancel and receive a pro-rata refund of prepaid unused fees.
Your Account
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at security@bhashavox.com if you believe your account has been compromised.
You must provide accurate registration information and keep it up to date. You may not share, sell, or transfer your account, or allow others to use it, except where your plan expressly provides for additional seats or team members.
Your Content & the Licence You Grant Us
You keep your rights. You retain all ownership and intellectual property rights in the text, documents, audio, video, images, and other material you submit to the Services ("Your Content"), and in the output generated from it, subject to any rights of third parties in the underlying material.
Licence to us. So that we can actually operate the Services, you grant BhaShaVox a limited, non-exclusive, worldwide, royalty-free, sub-licensable licence to host, store, copy, transmit, display, adapt, and process Your Content, and to create derived output such as translations, transcripts, subtitles, and synthesised audio. This licence exists solely to:
- deliver the features you request;
- transmit Your Content to the AI model providers, cloud hosts, and other sub-processors described in our Privacy Policy, who act on our behalf;
- maintain backups, security, and service integrity; and
- provide support and investigate abuse where necessary.
The sub-licence right extends only to those sub-processors and only for those purposes. We do not acquire the right to publish, sell, or commercially exploit Your Content, and we do not use it to train our own models, and we do not opt our AI sub-processors into programmes that use customer content for training.
Duration. The licence ends when you delete the relevant content or close your account, except that it continues for the limited period needed to remove data from backups and for any retention required by law, as described in our Privacy Policy.
Your warranty. You represent that you own Your Content or have all necessary rights, licences, consents, and permissions to submit it and to have it processed as described here, and that doing so does not infringe any third party's intellectual property, privacy, publicity, or other rights, or breach any law.
Acceptable Use & Prohibited Uses
You agree not to use the Services for unlawful purposes, to infringe the rights of others, or to transmit harmful content.
You may not use BhaShaVox to:
- Create deepfakes, synthetic media, or voice clones of a real person without that person's documented consent
- Impersonate any person or organisation, or misrepresent your affiliation with them
- Generate or distribute content that infringes third-party intellectual property rights
- Resell, sublicense, or white-label API or platform output as your own standalone translation service without written authorisation
- Circumvent security measures, rate limits, or usage restrictions, or attempt unauthorised access to any account, system, or data
- Reverse engineer the Services, or use them to build a competing model or service, including by scraping outputs for training data
- Upload or process content that sexually exploits or endangers minors, or that depicts minors in harmful contexts
- Generate content that incites violence, promotes terrorism, or facilitates unlawful discrimination
- Harass, defraud, defame, or conduct unlawful surveillance through the Services
- Upload malware, or use the Services to distribute spam or conduct unsolicited bulk messaging
We may investigate suspected violations and take action under section 16. You must comply with all export control and sanctions laws that apply to you, and you may not use the Services if you are subject to applicable sanctions.
Voice Cloning, Likeness & Consent
Voice cloning and speech synthesis carry particular legal risk, so additional conditions apply when you use these features.
- Ownership or consent. You must either be the speaker in the recording you upload, or hold express, informed, written consent from the speaker permitting you to create and use a synthetic version of their voice through BhaShaVox for your intended purposes.
- Proof of consent. You must retain records of that consent for as long as you use the voice, and provide them to us promptly on request. If you cannot, we may disable the voice.
- Biometric notice. Voice recordings may be regulated as biometric data in some jurisdictions, which can require you to give notice and obtain a written release from the speaker before collecting their voice. You are responsible for meeting those obligations for any voice you upload other than your own.
- Deceased and public figures. You may not clone the voice of a public figure, or of a deceased person, without rights clearance from the person or their estate.
- Disclosure. Where law or platform rules require synthetic media to be labelled, you are responsible for labelling output you publish.
- No identification use. You may not use the Services to build a voice identification, authentication, or surveillance system.
We may suspend or remove any voice, and suspend the account behind it, where we have a reasonable belief that consent is absent or has been withdrawn.
Payment, Refunds & Tokens
Subscription fees are billed in advance for the plan and billing period you select. Fees are exclusive of applicable taxes unless stated otherwise, and taxes such as GST will be added where required. Current public plans and pack prices are shown on our Pricing page and may change as described below.
- Monthly plans (Starter, Pro, Enterprise) — you may cancel at any time. Cancellation takes effect at the end of the current billing period, and partial-month refunds are not issued once a billing period has begun. Unused subscription tokens do not roll over to the next period.
- Annual plans — you may cancel at any time. Cancellation takes effect at the end of the current annual term. Refunds for the unused remainder of an annual term are considered case by case at our discretion.
- Rebuying a subscription mid-cycle — you may purchase any subscription plan again (same or different). On payment, your token balance is set to that plan’s full allowance and your billing date resets from that payment.
- Pay-As-You-Go packs — we sell fixed token packs (currently Individual: 65,000 tokens; Enterprise shared: 1,000,000 tokens), priced as shown at checkout. PAYG tokens never expire, are sold in whole packs only, and are additive: they increase your balance without resetting your subscription billing date when you already have an active Starter, Pro, or Enterprise plan. On trial or without a paid subscription, purchasing an Individual PAYG pack sets your tier to Pay-As-You-Go. Enterprise PAYG packs may only be purchased by an enterprise admin (or create a new enterprise for that admin). Purchased PAYG packs and unused PAYG tokens are not refundable.
- Consumed tokens — tokens (subscription or PAYG) are consumed as you use the Services and are not refundable once used.
- Free trial — trial tokens and duration are as stated on Pricing. Trial video exports may include a watermark. Paid plans and paid PAYG packs receive clean exports.
- Enterprise — payment and refund terms in a separate written agreement prevail over this section to the extent of any conflict.
- Price changes — we may change prices with at least 30 days’ notice before your next renewal. You may cancel before the new price takes effect.
- Failed payment — if a payment fails we may suspend access to paid features until the balance is settled.
We do not offer a general money-back guarantee. If you believe you have been charged in error, contact sales@bhashavox.com within 30 days of the charge and we will investigate. Nothing in this section limits any refund or cancellation right you have under mandatory consumer law in your country.
What “unlimited” means. Where a plan or feature is described as unlimited, it means we do not apply a fixed cap on the number of items, participants, or requests for that feature. It does not remove the token allowance included with your plan, and it remains subject to fair use, rate limits we may apply, and technical limits such as maximum file size and recording length shown in the product, which may change with notice. We may contact you and apply reasonable limits where usage is far outside normal patterns for your plan or affects other customers.
Our Intellectual Property
The Services, including our software, models as deployed, interfaces, documentation, trade marks, and branding, are owned by BhaShaVox or our licensors and protected by intellectual property laws. Nothing in these Terms transfers those rights to you.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms and your plan. You may not copy, modify, distribute, or create derivative works of the Services, or remove any proprietary notices.
Feedback. If you send us suggestions or feedback about the Services, you grant us a perpetual, royalty-free right to use them to improve our products, without obligation to you. This does not give us any right to publish your feedback as a testimonial, which requires your separate consent as described in our Privacy Policy.
Copyright Complaints & Takedown
We respect intellectual property rights and expect our users to do the same. If you believe content processed or hosted through the Services infringes your copyright, send a written notice to legal@bhashavox.com including:
- your name, address, telephone number, and email address;
- identification of the work you claim is infringed;
- identification of the material you claim is infringing, with enough detail for us to locate it;
- a statement that you have a good-faith belief the use is not authorised by the rights holder or by law;
- a statement that the information in the notice is accurate and that you are the rights holder or authorised to act on their behalf; and
- your physical or electronic signature.
We will act on valid notices expeditiously, and may remove or disable access to the material. If your material is removed and you believe this was an error, you may send a counter-notice to the same address with the corresponding details, and we will restore the material unless the complainant pursues legal action.
We may suspend or terminate accounts of repeat infringers. Notices under India's Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 may also be sent to our Grievance Officer as described in our Privacy Policy.
API & Developer Use
If you use our APIs, the following also applies:
- API keys are confidential and personal to your account. You are responsible for keeping them secure and for all use made through them. Rotate a key immediately if it may have been exposed.
- You must respect applicable rate limits, quotas, and fair-use requirements. We may throttle or suspend access to protect service stability.
- You may not use the API to circumvent plan limits, to resell raw output as a standalone competing translation service, or to build training datasets for a competing model.
- If you build an application on our API, you are responsible for your own users, your own privacy notice, and for obtaining any consents needed for the content you send us. As between you and us, you act as the controller of your users' data and we act as your processor.
- We may change API behaviour and versions. For breaking changes to a stable API we will give reasonable advance notice.
AI Output Disclaimer
Translations, voice clones, subtitles, and other outputs generated by BhaShaVox are produced with AI systems and may contain errors, omissions, mistranslations, or unintended tone.
You are responsible for reviewing outputs before relying on them. BhaShaVox outputs should not be used as the sole basis for medical, legal, financial, safety-critical, or other high-stakes decisions without independent verification by a qualified human professional. Outputs are not certified translations unless expressly provided as such under a separate agreement.
Because AI systems are probabilistic, similar or identical output may be generated for other users. We make no warranty that output is unique or that it is free of third-party rights.
Service Availability & Beta Features
Availability. We aim to keep the Services available and reliable, but we do not commit to any specific uptime or availability level unless you have a written service level agreement with us. The Services may be unavailable for maintenance, updates, or reasons outside our control, including failures of third-party AI or infrastructure providers.
Beta and preview features. Features labelled beta, preview, early access, or experimental are provided as is, may change or be withdrawn without notice, may produce lower-quality results, and are excluded from any service level commitment. Do not rely on them for production workloads.
Third-party services. Where the Services integrate with third-party products, those products are governed by their own terms and we are not responsible for their availability or performance.
Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or secure, that defects will be corrected, or that output will meet your requirements or be accurate or complete.
Some jurisdictions do not allow the exclusion of certain warranties. Nothing in this section limits warranties or rights that cannot be excluded under mandatory law applicable to you, including consumer guarantees.
Limitation of Liability
To the fullest extent permitted by applicable law:
- Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, however caused.
- Our aggregate liability arising out of or relating to the Services will not exceed the total amounts you paid to BhaShaVox for the Services in the twelve (12) months before the event giving rise to the claim.
Exceptions. These limits do not apply to, and nothing in these Terms excludes or limits, liability that cannot lawfully be excluded — including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, gross negligence or wilful misconduct, a party's indemnity obligations under section 15, your obligation to pay fees due, or any liability or right that mandatory consumer protection law in your country does not permit us to exclude.
These limits apply in aggregate across all claims and regardless of the theory of liability.
Indemnification
You agree to indemnify, defend, and hold harmless BhaShaVox and its officers, employees, and agents from and against any third-party claims, demands, proceedings, damages, losses, liabilities, and reasonable legal costs arising out of or related to:
- Your Content, including any claim that it or the output generated from it infringes intellectual property, privacy, publicity, personality, or other rights;
- your use of voice cloning or likeness features without the consents required by section 6;
- your breach of these Terms or of applicable law; or
- your use of the Services in a manner that harms a third party.
We will notify you of any claim for which we seek indemnity, allow you to control the defence with counsel reasonably acceptable to us, and cooperate reasonably at your expense. You may not settle a claim in a way that imposes obligations on us without our written consent.
Suspension & Termination
By you. You may stop using the Services and close your account at any time from your account settings or by contacting support. Section 7 governs any refund.
By us, for cause. We may suspend or terminate your access where you materially breach these Terms, where your use creates a legal, security, or operational risk, or where we are required to do so by law. Except where the breach is serious, unlawful, or a security risk, or where notice would be unlawful or ineffective, we will give you notice of the reason and a reasonable opportunity to remedy the issue before terminating.
By us, without cause. We may discontinue the Services or terminate your account without cause by giving you at least 30 days' written notice, and will refund prepaid fees for the unused remainder of your term on a pro-rata basis.
Appeals. If your account is suspended or terminated and you believe this was a mistake, you may appeal to support@bhashavox.com, or to our Grievance Officer, and we will review the decision and respond.
Effect. On termination, your right to use the Services ends. You may export Your Content before closure, and where practicable we will allow a 30-day window after termination to retrieve it, except where withholding access is necessary for legal or security reasons. Sections that by their nature should survive termination will do so, including sections 4 (warranty), 8, 13, 14, 15, 18, and 20.
Changes to These Terms
We may modify these Terms to reflect changes to the Services, our business, or legal requirements.
For changes that materially affect your rights or obligations, we will give at least 30 days' notice by email or in-product notice before they take effect, and update the "Last updated" date. If you do not accept a material change, you may terminate your account before it takes effect and receive a pro-rata refund of prepaid unused fees. Continuing to use the Services after the effective date means you accept the revised Terms.
Non-material changes, such as clarifications and corrections, take effect when posted.
Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles, and the courts at Yamuna Nagar, Haryana, India have exclusive jurisdiction, subject to the paragraph below.
Talk to us first. Before starting formal proceedings, please contact us at legal@bhashavox.com with a description of the dispute and the resolution you seek. We will attempt to resolve it in good faith within 30 days. This step is a condition of bringing a claim, except for claims for urgent injunctive relief or to protect intellectual property.
Consumers. If you use the Services as a consumer, nothing here deprives you of the protection of the mandatory consumer laws of your country of residence, or of your right to bring proceedings in the courts of that country where applicable law gives you that right.
Data Processing Agreement
Enterprise and business customers that require a Data Processing Agreement (DPA) for GDPR, UK GDPR, or other data-protection compliance may request one by contacting legal@bhashavox.com. Our standard DPA incorporates the European Commission's Standard Contractual Clauses and the UK International Data Transfer Addendum where relevant, and includes our current list of sub-processors.
Our processing of personal data is further described in our Privacy Policy. Where a signed DPA conflicts with these Terms in relation to the processing of personal data, the DPA prevails for that subject matter.
General Terms
- Entire agreement — these Terms, together with the Privacy Policy and any plan-specific or written agreement, form the entire agreement between us regarding the Services and supersede prior discussions.
- Severability — if any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in full force.
- No waiver — our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment — you may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, financing, or sale of assets, with notice to you.
- Force majeure — neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, government action, internet or power failures, and failures of third-party infrastructure or AI providers. Payment obligations are not excused.
- Notices — we may give notice by email to the address on your account or by in-product notice. You should send notices to legal@bhashavox.com and, where these Terms require written notice, also to our registered office.
- Relationship — nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
- No third-party beneficiaries — these Terms do not create rights for anyone other than you and us.
- Language — these Terms are published in English. Any translation is provided for convenience only, and the English version governs.
